Corporate Legal Counsel
Position Overview:
The Corporate Legal Counsel is responsible for providing legal advice, preparing resolutions, reports, policies, guidelines, and drafting and reviewing contracts. The legal counsel will advise and support all US and Canadian
corporate functions on strategic corporate legal and risk management initiatives, including but not limited to, litigation, corporate securities, and compliance matters. The Legal Counsel will also work closely with the UK and Europe legal teams, and other departments to foresee and protect company against legal risks.

The Corporate Legal Counsel is responsible for providing legal advice, preparing resolutions, reports, policies, guidelines, and drafting and reviewing contracts. The legal counsel will advise and support all US and Canadian
corporate functions on strategic corporate legal and risk management initiatives, including but not limited to, litigation, corporate securities, and compliance matters. The Legal Counsel will also work closely with the UK and Europe legal teams, and other departments to foresee and protect company against legal risks.
Required Education, Skills and Experience:
- Bachelor’s degree and minimum of 10 years of legal and compliance experience
- Minimum of 5 years of general corporate, securities, SEC filings experience representing life sciences companies and/or healthcare providers
- Prior work experience in a public company
- Comprehensive understanding of legal and regulatory compliance standards and issues
- Strong financial services background
- Healthcare Corporate Compliance experience
- Familiarity and understanding of Sarbanes-Oxley and similar legislation, laws and guidelines
- Excellent verbal and written communication skills
- A high-level of intellectual, professional and interpersonal agility and flexibility, combined with strong analytical and problem-solving skills
- Ability to meet deadlines
Essential Functions/Responsibilities (other duties may be assigned):
- Serve as legal advisor and provide day-to-day legal counsel to the executive management team and other departments on general corporate and compliance matters
- Provide legal advice and counsel on market access, pricing, reimbursement, government pricing matters including but not limited to price reporting, federal contracting requirements, pricing and reimbursement advice
- Advise on different financing options, as well as ensuring any financing transaction is properly documented
- Participate in the development of corporate policies, procedures, programs and provide counsel on legal matters involving the company
- Provide legal support for all regulatory, policy, litigation, and legislative matters at the Federal and State level
- Advise on corporate securities and SEC reporting and compliance matters, including SEC periodic reports, proxy statements, annual reports, and provides legal support including share buybacks, corporate finance and capital market transactions
- Identify areas of company risk, develop proposals to mitigate risks, and leading implementation of mitigation strategies
- Draft professional service agreements, contracts with healthcare providers and healthcare networks, etc.
- Conduct research and compile information on privacy laws and regulations
- Respond to subpoenas and other legal and regulatory inquiries
- Perform compliance investigations, as well as assist with and support investigations performed by other corporate functions (e.g. Corporate Compliance, Internal Audit, Human Resources), including monitoring investigating whistleblower reports
- Ensure the company complies with all applicable laws, rules and regulations with a particular emphasis on complying with healthcare laws such as the False Claims Act, STARK, AKS, etc.
